Neighborly Sites - Agreement

Introduction

Welcome to the Neighborhood! We are excited to build a long and prosperous partnership with you and your business.

In the following agreement, we’ve outlined our promises to you, and your promises to us. We want your website to exceed all expectations, and the clearest way to make that happen is to outline everything up-front.

Please know that we have no desire to trick you into signing something that you might regret later. Our only goal is to protect both of us – today and down the road. In this agreement, we have tried our best to avoid using complex legal jargon or long paragraphs of unreadable legal text.

In a Nutshell

You are hiring Neighborly Sites to create and launch a website for your business under a 24-month payment plan. During those 24 months, you receive (at no extra cost) premium hosting, SSL certificates, third‑party backups, uptime monitoring, and ongoing updates to WordPress, themes and plugins. Unlimited content edits and support are also included during this period.

Once those 24-months are finished, your obligation ends. You may either remain on our month‑to‑month service plan, currently $155 per month and cancelable at any time, or you may move your completed site away from Neighborly Sites. If you choose not to cancel after 24 months, your site will automatically continue under the month‑to‑month plan.

What the Client Agrees To

You confirm that you have authority to enter this contract on behalf of yourself or your organization. You agree to supply the information and assets (logos, slogans, photos, etc.) needed for us to properly build your site, and you agree to promptly provide them in the formats requested by us. You agree to review draft work without delay and to provide clear approval or feedback so the project can keep moving. You also agree to the monthly payment schedule established by the subscription billing.

What Neighborly Sites Agrees To

We have the skill and ability to deliver everything outlined here and will do so professionally and on time. We will strive to meet every deadline and will keep all materials you share with us confidential. We will never share your information with other businesses or your competitors.

Project Timeline

Our typical development time is approximately four to six weeks. The timeframe can vary, so if you require a firm date, please speak with your project manager. Add‑on services such as copywriting or extra pages add roughly two business days per item onto the project timeline. A fully custom design usually adds about three weeks to our typical timeline. If your replies take longer than one business day, that pause may extend the launch schedule. Our timeline covers our deliverables, but extenuating circumstances such as changes in scope by the client, extra revision rounds, or lack of communication may delay the project timeline.

What Is Included in the Website Build

Your chosen package includes the stated number of pages, on‑page search‑engine optimization, mobile and tablet optimization, and custom contact forms. Custom sites allow limited design revisions. Template packages use fixed designs and therefore do not include layout changes, though you may alter images, colors, fonts and text.

Revisions

All website packages, by default, are based on our templated designs unless a custom design upgrade is purchased. Template sites may not have design revisions, as the design is already final. You may, however, request changes to media, colors, fonts, or content, but you may not request changes to the design layout. If we must design a brand‑new template for your industry, you may request one round of revision to the home‑page concept before the template is set.

If you are purchasing a custom design upgrade, you may request up to two rounds of revisions of our initial design concept. Any further revisions will incur an additional cost. Once the initial design concept (website home page) is approved, the rest of the website will be built to that style and functionality. Revision requests that arrive after home‑page approval will invoke a fee that will be quoted based on scope and complexity.

Monthly Maintenance

For the first 24 months, you receive (at no extra cost) premium hosting, SSL certificates, third‑party backups, uptime monitoring, and ongoing updates to WordPress, themes and plugins. Unlimited content edits and support are also included during this period. This is provided to you for free for 24 months.

Technical Support

All technical support needed to keep your website running smoothly is included for free at no extra cost. You may request content updates any time by emailing [email protected]. For any reason, if you are experiencing difficulties with your website, you may reach out directly to your project manager or email [email protected]. We answer support emails as quickly as possible – please allow up to two business days for us to address any technical difficulties.

Communication Guidelines

During development, your assigned project manager is your primary contact. After launch, you may continue to request updates through your project manager. To keep communication clear, all project discussion should come from a single representative of your company and should take place by email. Phone calls are available by appointment.

Legalities

We will perform our work in line with recognized industry standards. Even so, perfection cannot be guaranteed, and we cannot be responsible for indirect losses such as missed profits or savings. Your liability to us is limited to the fees owed under this agreement, and our liability to you is limited in the same way.

Website Ownership

Throughout the payment plan, you enjoy an unrestricted license to use the site. Ownership of the WordPress files transfers only after the site is paid in full after 24 months. Once paid, you have complete control of every file. We retain the right to reuse any design elements or images we created during your project. While payments are outstanding, hosting must remain with Neighborly Sites. You may transfer the site elsewhere once the balance is cleared.

Site Access

You may grant your own staff or third‑party vendors access to the site. We are not responsible for issues caused by changes anyone other than a Neighborly Sites employee makes. We can attempt to remedy such issues for a fee. All sites under a payment plan must stay on Neighborly Sites’ servers.

Displaying Our Work

We are proud of our craft and reserve the right to showcase screenshots, works in progress and finished projects in our portfolio or other media. A small credit, “Web design by Neighborly Sites,” will appear in your footer. If you wish to remove it, a one‑time fee of two hundred fifty dollars applies. Removing the credit does not transfer design ownership to any other party.

Non‑Exclusivity of Templates

Template designs are not exclusive. Another business in your area might use the same layout. If that concerns you, ask us to check, and we can vary colors and images to avoid a twin appearance. You may also choose a custom or partially custom design.

Scope Changes

Your package defines the initial scope. Additional pages, copywriting or other services requested later will be quoted separately, and the timeline will extend accordingly.

Client Requirements

After purchasing your subscription you will complete an onboarding form and upload all media at one time. Work begins only after both the form and all media are received.

Content Writing

Content writing can be added to your project. If you choose this service we will outline each required page and deliver a copy based on information you provide up front. Later technical revisions not disclosed earlier are outside scope; in that case you may edit the copy yourself and send it back to us. If you decline the writing service you must supply all finished content in a single document and email a link to your project manager.

Launching the Site

We aim to put your site online as soon as possible. Sometimes that means launching before every interior page is perfect. A live site is always better than a hidden one. If you would rather delay launch until you give specific permission, email us to let us know.

Payment Schedule

Your card is charged once per month for 24 months. After the 24-month period, if you wish to remain on our hosting, maintenance and support, your monthly payment will automatically reduce to a discounted amount of $155 per month and can be canceled at any time.

Early Termination

If you wish to end the 24-month payment plan before every installment has run, simply email written notice to your project manager. We will only charge you 50% of your remaining balance, to ensure that this is fair for both parties. Once that invoice is paid, we will deactivate your website and close your account.

Should you wish to keep the site and migrate it to a different host, the full unpaid balance – rather than the discounted half – must be paid before we package the WordPress files, database export and any transferable licensed assets.

Any charge‑back, payment dispute, or cancellation of the recurring billing prior to the final scheduled payment is considered a voluntary early termination and will trigger the same process described above.

Late Payments

Cards expire and bank accounts can run short, so we give every client a grace period. If a monthly payment fails, we will send an email reminder and retry the charge. Any payment that remains outstanding for more than thirty (30) calendar days will place your account in suspension and your website will be frozen to display a maintenance screen. To reactivate the website, you must pay all overdue amounts and a $50 reactivation fee.

If the account stays unpaid for ninety (90) calendar days – three consecutive billing cycles – the agreement moves into default. You then have two options. You may pay the entire remaining balance in full and receive a packaged copy of your site files for transfer, or you may invoke the early‑termination option and immediately pay 50% of the remaining balance, after which the site and all related services will be closed.

After the Contract Ends

When the 24-month term concludes, you automatically move to the month‑to‑month maintenance plan at $155 per month. You can cancel at any time, or you can request your site files and move to another host within two weeks.

Fair Use

Email notifications, text alerts and CRM automations are unlimited up to three hundred events per month. Higher usage falls under an enterprise plan that we will price separately.

Thirty‑Day Money‑Back Guarantee

You may cancel within thirty days of signing and receive a full refund. After thirty days, the contract is locked in.

Right to Refuse Service

We reserve the right to end services at any time. If we do, we will either refund all payments you have made or deliver your finished site without further charges.

Client Understanding

You acknowledge that a website alone does not guarantee traffic or leads. Marketing efforts such as search ads, social media, and local listings are typically required for optimal performance. We can recommend strategies and providers if you wish. Search‑engine rankings, conversion rates, revenue increases, or other business outcomes are influenced by factors beyond our control and therefore can’t be guaranteed by us.

Privacy Policies and Terms

You, the Customer, are responsible for complying with privacy laws in your jurisdiction. Neighborly Sites is not responsible for your privacy policies and terms and conditions related to your website. We will assist you in putting any privacy policy information or terms and conditions information on your website for free. However, you, the Customer, are responsible for knowing and following the privacy laws of your country, state, and local municipality. You must provide your privacy policy and terms and conditions in writing to [email protected], and we will post them on your site at no charge. You are responsible for updating your privacy policy and terms and conditions as your business operations change or as your local laws change. We will assist you in updating your policies and terms at any time.

Governing Law and Forum

This agreement is governed by the internal laws of the State of California, without regard to conflict of law principles. Any dispute will be heard in a court of competent jurisdiction in San Diego County, California, and both parties expressly consent to jurisdiction in such courts. 

Attorney Fees

In any legal action between the parties concerning this Agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

Indemnity

The website may depend on third‑party software, plug‑ins, APIs, fonts, hosting providers, payment gateways, or other external resources. Neighborly Sites is not responsible for the performance, availability, data loss, or security vulnerabilities of those third‑party services. Any failure, sunset, or material change to a required third‑party resource constitutes a force‑majeure event and excuses our performance for as long as the event continues.

Each party agrees to defend, indemnify, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, representatives, and employees from any and all third-party claims, demands, liabilities, costs, and expenses, including reasonable attorney’s fees, costs and expenses resulting from the indemnifying party’s material breach of any duty, representation, or warranty under this Agreement.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining portions of this Agreement shall remain in full force and effect. The remaining portions should also be interpreted to honor the original intent and purpose of this Agreement.
